Terms of Service

Last updated 7 October 2026
These Terms of Service are provided in good faith and tailored to how PointVigil works, but they are not legal advice. Please have them reviewed by a qualified professional before relying on them.

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of PointVigil (the "Service"), operated by Dibene Technology Solutions (Pty) Ltd ("we", "us"). By connecting a Microsoft 365 tenant, creating an account, or using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

2. The Service

PointVigil monitors the SharePoint document libraries you select and sends email digests of changes on the schedule you choose. Access to your Microsoft 365 tenant is read-only and is granted through Microsoft's administrator consent flow. Where your tenant's Microsoft 365 audit log is available, digests may name the person who deleted a file, using that audit log.

3. Your responsibilities

4. Acceptable use

You may not misuse the Service, including by attempting to breach or circumvent its security, disrupt its operation, access data without authorisation, reverse-engineer it except as permitted by law, or use it to infringe the rights of others.

5. Trials, subscriptions and billing

6. Cancellation and refunds

You may cancel at any time; cancellation takes effect at the end of your current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable and we do not provide pro-rata refunds for partial periods.

7. Availability and support

We aim to keep the Service available and reliable and provide reasonable support, but unless we have agreed a separate service-level agreement, the Service is provided on a best-effort basis without a guaranteed uptime commitment. We may perform maintenance and may modify or discontinue features.

8. Your data

You retain all rights to your data. Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. PointVigil is a monitoring and notification tool; it is not a backup, archiving, e-discovery or compliance system, and you should not rely on it as one.

9. Intellectual property

The Service, including its software, design and branding, is owned by Dibene Technology Solutions (Pty) Ltd and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that every change will be detected or every digest delivered.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability arising out of or relating to the Service is limited to the fees you paid for the Service in the three (3) months before the event giving rise to the claim.

12. Suspension and termination

We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to the Service or others. You may stop using the Service and cancel at any time.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date above and, where appropriate, by notifying you. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction over any dispute, without regard to conflict-of-laws rules.
